Welcome to Media Mosiac. These Terms and Conditions ("Terms") govern your access to and use of the website mediamosiac.com (the "Site") and any services provided by Media Mosiac OPC Private Limited ("Media Mosiac," "we," "us," or "our"), including but not limited to digital marketing, performance marketing, SEO, PPC, social media marketing, graphic design, website and mobile app development, and our affiliate network (Publisher and Advertiser programs).

By accessing the Site, submitting an inquiry, signing up as a Publisher or Advertiser, or engaging our services, you ("Client," "User," "Publisher," "Advertiser," or "you") agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.


1. About Us

2. Services

We provide services including Website Development, Mobile App Development, Graphic Design, Social Media Marketing, SEO Services, Performance Marketing, Meta Ads, LinkedIn Marketing, Pay-Per-Click (PPC), Email Marketing, Bulk SMS Marketing, WhatsApp Marketing, Product Listing, and affiliate/performance marketing network services (CPI, CPL, CPA campaigns).

The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, insertion order, or signed agreement ("Service Agreement"). Where these Terms conflict with a signed Service Agreement, the Service Agreement will prevail for that engagement.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use our services, sign up as a Publisher/Advertiser, or engage us for any project.

4. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate, complete, and timely information, assets, access credentials, and approvals required to perform the services.
  • Ensure you have the rights to any content, trademarks, logos, or materials you provide to us for use in campaigns, ads, or development work.
  • Comply with the advertising policies of third-party platforms (Google, Meta, LinkedIn, etc.) used to run your campaigns.
  • Make payments in accordance with the agreed schedule.

We are not liable for delays or shortfalls in deliverables caused by your failure to provide required inputs, approvals, or access in a timely manner.

5. Payment Terms

  • Fees, billing cycles, and payment methods will be specified in the applicable proposal or invoice.
  • Unless otherwise agreed in writing, invoices are due within the period stated on the invoice; overdue payments may result in suspension of services.
  • Advertising/media spend paid to third-party platforms (Google, Meta, etc.) is separate from our service/management fees, unless explicitly stated otherwise.
  • All fees are exclusive of applicable taxes (including GST) unless stated otherwise.
  • Fees paid for services already rendered, ad spend already disbursed, or work already completed are non-refundable, except as required by law or as expressly agreed in a Service Agreement.

6. Affiliate Network — Publishers & Advertisers

Our affiliate network connects Publishers (traffic owners) with Advertisers (brand owners) for CPI, CPL, and CPA campaigns.

6.1 Publishers

  • Publishers must generate traffic and leads through lawful, policy-compliant methods only. Fraudulent, incentivized (where not permitted), bot-generated, or otherwise manipulated traffic is strictly prohibited and will result in forfeiture of payouts and account termination.
  • Payouts are made per the agreed payment cycle (weekly/bi-weekly) and are subject to verification of conversions.
  • Media Mosiac reserves the right to withhold or reverse payouts for conversions found to be fraudulent, duplicate, or non-compliant with the advertiser's offer terms.

6.2 Advertisers

  • Advertisers agree to pay only for verified results (installs, signups, purchases, etc.) as defined per campaign, subject to our fraud detection and verification process.
  • Advertisers are responsible for ensuring their offers, landing pages, and products comply with applicable laws and platform policies.

6.3 General

  • Media Mosiac acts as an intermediary/network facilitator and does not guarantee specific volumes of traffic, leads, or conversions.
  • We reserve the right to suspend or terminate any Publisher or Advertiser account for violation of these Terms, suspected fraud, or non-compliance with offer/campaign guidelines.

7. Performance Marketing Disclaimer

While we apply industry best practices to SEO, PPC, Meta Ads, and other performance marketing services, we do not guarantee specific rankings, traffic volumes, lead counts, conversion rates, or return on ad spend. Digital marketing outcomes depend on numerous factors outside our control, including but not limited to platform algorithm changes, market competition, budget levels, and the client's own website/product/service quality.

8. Intellectual Property

  • All content on the Site — including text, graphics, logos, and design — is the property of Media Mosiac or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, or use it without our prior written consent.
  • Upon full payment for a project (e.g., website, app, or creative deliverables), ownership of the final agreed deliverables transfers to the Client, unless otherwise specified in the Service Agreement. Media Mosiac retains the right to showcase completed work in its portfolio, unless the Client requests confidentiality in writing.
  • Any third-party tools, plugins, stock assets, licenses, or frameworks used in a project remain subject to their respective owners' terms.

9. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the course of the engagement, and to use such information solely for the purpose of the engagement, except where disclosure is required by law.

10. Third-Party Links and Platforms

Our services and Site may link to or rely on third-party platforms (e.g., Google, Meta, LinkedIn, WhatsApp, payment gateways). We are not responsible for the content, policies, availability, or performance of third-party platforms, and your use of them is subject to their respective terms.

11. Limitation of Liability

To the maximum extent permitted by law, Media Mosiac OPC Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Site or our services. Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by you to us for the specific service giving rise to the claim in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Media Mosiac, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from your breach of these Terms, misuse of our services, or infringement of any third-party rights through content or materials you provide.

13. Termination

Either party may terminate an ongoing engagement in accordance with the notice period specified in the applicable Service Agreement. We reserve the right to suspend or terminate access to the Site or our services immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users, Publishers, Advertisers, or Media Mosiac.

14. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.
